Term of Employment
This is the duration of the employer's commitment to the employee. Sometimes, agreements are "at-will" in nature, meaning that either side may terminate the agreement at any time, for any reason or no reason. Some agreements contain a clause stating that the agreement automatically renews from year to year. This is an "evergreen" clause.
Compensation
Sometimes, an employee's compensation is fixed. At other times, the amount of money that the employee can earn is determined by his performance. The employee needs to ensure that the provisions governing compensation are clear and fair.
Termination
Under what circumstances can the employee be fired? Under what circumstances can the employee quit? Is the employee being employed "at will" (meaning that either side may terminate the agreement at any time for any reason)? May the employee only be terminated for "cause"? If so, how is "cause" defined? Does it precisely state the reasons for which the employee will get fired? Will the employee have an opportunity to "cure" his or her performance when it is not to the employer's standard? Can the employee voluntarily quit for "good reason"?
Vacation and Other Leave
Does the agreement provide for adequate vacation and leave for the employee? Does the vacation carry over from one year to the next? If the employee's employment terminates, does he get paid for any unused vacation?
Does the agreement contain a noncompete provision? Is it fair and reasonable to the employee? Is the employer providing adequate pay when considering the terms of the noncompete provision?
